    The purpose of this paper is to examine how corporate governance structure affects the decision makings of top management. Since the 1990s, Japanese firms have experienced greater changes in corporate governance. While cross-shareholdings decreased, presence of active investors such as foreign and institutional investors increased. Simultaneously, reforms of top management such as introducing the executive officer system and outside directors have progressed. How do these changes in corporate governance affect the decision makings of managers? We focused on the changes in diversification as a change in corporate strategy that reflects manager's decision making. Using the unbalanced panel data of Japanese firms listed on the first section of Tokyo Stock Exchange from 1990 to 2005, we tested the effects of corporate governance characteristics such as ownership structure and boards of directors on change in diversification. We found the followings. First, lower firm performance triggers strategic change. This tendency was obvious after the financial crisis in 1997, and for the firms which performance was below the industry average. Second, typical Japanese governance characteristics such as larger board of directors and cross shareholdings impeded strategic change that was responsive to firm performance. This result implies a dysfunction of traditional J-type corporate governance. A larger board would prevent quick decision makings and increase coordination cost. Also, stable shareholders based on cross-shareholdings weakened discipline. Third, when the firm performance was below the industry average, we could find the disciplinary mechanism of corporate governance. This is important because the function of corporate governance is under question especially when firm's performance is poor. We confirmed that the keys for this mechanism were the pressure from capital market and board reforms.

    Purpose - Using the lens of the romance of leadership, the authors aim to investigate how knowing the causes of negative outcomes affects the evaluation of those outcomes and the extent to which leaders are blamed.
    Design/methodology/approach - The authors used an experimental situation with three conditions of organizational failure, caused by leadership, employees, and unavoidable external factors, respectively. Participants were assigned to one of three conditions and then asked to evaluate the outcomes and the extent to which they blamed the leader.
    Findings - Negative outcomes attributed to leadership are not necessarily evaluated more harshly than outcomes attributed to other factors are. However, leaders are blamed more harshly when outcomes are attributed to internal factors, including leaders and employees, than to external factors. This tendency is even more evident when the victims of bad outcomes are customers.
    Research limitations/implications - The attributional process apparently differs between positive and negative outcomes.
    Practical implications - Leaders are blamed for and occasionally expected to resign as a result of negative outcomes, despite not being actually responsible for those outcomes. Blame can be mitigated by developing good relations with the public or investors in advance and apologizing and explaining its actual causes carefully after the outcome occurs.
    Originality/value - The cognitive shortcut known as the romance of leadership the tendency of attributing results to leadership and evaluating those results according to the value attached to leadership does not always play a role in people's evaluations of negative outcomes.

    This paper analyzes the effects of firm performance and governance factors on the decrease in diversification of Japanese firms in the 1990s. We focus on the cases of the decrease in diversification, because many previous studies proved that diversification caused firm value discount. Adjusting an excessive unrelated diversification would be an important topic, because the problems of low synergy between business units, inefficiency in management and so on were more serious in this type of diversification. The findings of this study are as follows. In the first half of the 1990s, immediately after the collapse of bubble economy, lower firm performance and main bank relationship encouraged firms to decrease the level of diversification of their businesses. On the other hand, in the latter half of the 1990s when the decrease in diversification itself was activated, higher performing non-manufacturing firms and manufacturing firms with lower profitability but facing higher growth in their main business tried to decrease diversification in order to strengthen the competitiveness in main businesses. Also, this kind of decrease in diversification was supported by the governance characteristics such as insider majority smaller boards of directors and the pressure from capital market.

    The purpose of this paper is to investigate the determinants of the introduction of executive officer system in Japanese firms. Executive officer system is one of the top management reform plans in the late 1990s, and it intends to reinforce the functions of both board (decision making and monitoring role) and each divisional management. According to the previous studies on executive officer system, it is reported that firms adopted this system for the purpose of board revival by decreasing the number of directors. Yet, the relationship between firm performance and the introduction of executive officer system is not clear. So, the first concern of this paper is to clarify whether the poor performance really increases the pressure of board restructuring or not. This is important from the viewpoint of good corporate governance. Using a sample of large 357 firms in manufacturing sector, we analyzed the effect of firm performance on the introduction of executive officer system. The results of the logit model estimation showed that lower performance (industry-adjusted ordinary profit per total asset) increased the probability of introducing executive officer system. This means that lower performance increases the pressure of board reform, and indicates the possibility that some kind of an effective governance mechanism is working behind. Then, the second concern is to specify what kinds of governance characteristics have an influence on the adoption of executive officer system. As a result of estimation, which investigated some governance factors, the probability of adopting executive officer system was high for the firms that had relatively weak relationship with main bank and parent company. And it was also found that outside shareholders (foreign financial institutions and life insurance companies) and insiders' commitment (measured by the employees average tenure for their company) exaggerated the negative correlation between firm performance and the introduction of executive officer system. Therefore, when the firm performance was poor, both the external and the internal disciplines worked complementally to increase the probability of introducing executive officer system.

    With an aim to review prior theoretical literature, we held monthly workshops; furthermore, to describe and analyze business in emerging countries, being based mainly on the new institutional economics and other disciplines like psychology and political science, we obtained the novel viewpoints of “heuristics of management,“ “regulation focus at governance mode,” and “non-market strategy.” Above all, the “non-market strategy” viewpoint was elaborated in a conference presentation titled “Mega-Strategy: Corporate Strategy to Fill Gaps in a Institutional Environment” (2017, June).
    In addition, we conducted surveys mainly in ASEAN countries such as Singapore, Thailand, Vietnam, Philippine, and Myanmar. Moreover, in 2018, we are publishing a paper titled “Development of Mega-Strategy by Japanese public agencies, semi-private agencies, and Japanese private companies in Myanmar.”
